1. Scope of Services

• Virtual Design I Services Include one initial consultation (up to 60 minutes) to discuss client needs and preferences.
• Tailored mood board
• Layout options
• Product recommendations for a single space
• Includes up to two design revisions.
• Client Onboarding: A design questionnaire must be completed prior to the consultation.
• Deliverables are provided as digital files only.
• Client Responsibilities: The client is responsible for purchasing and implementing the design.

Virtual Design II Services:

• Includes an extended consultation (up to 60 minutes) for an in-depth discussion of design goals.
• Tailored mood board
• Space planning layouts
• Product sourcing links
• Complete design package with construction documents
• Includes up to three design revisions.
• Client Onboarding: A design questionnaire must be completed prior to the consultation.
• Deliverables are provided as digital files only.
• Client Responsibilities: The client is responsible for purchasing and implementing the design.

Full Interior Design Services:

• Comprehensive design services encompassing:
• Concept development
• Space planning
• Material and finishes selection
• Furniture and fixture specification
• Construction documentation
• Project management (as outlined in the client contract)
• Includes procurement of furnishings, materials, and decor as specified in the agreement.
• Deliverables may include:
• Mood boards, renderings, and elevations
• Detailed construction documents
• Sourcing lists and specifications
• Client Onboarding: Includes an initial discovery consultation and questionnaire to define goals.
• Revisions Policy: Revisions are included during the concept phase. Additional revisions beyond this phase are billed at an hourly rate.
• Exclusions: Construction execution, contractor hiring, and installation management unless explicitly agreed upon.

2. Service Fees and Payment Terms

• Fees are outlined in the proposal and require approval before any work begins.
• Payment for Virtual Design I and II services must be made in full upfront.
• Full interior Design services require a retainer, with subsequent payments tied to milestones or a specified timeline. A 10% late fee will be added daily to the outstanding balance starting 15 days after the invoice due date until the payment is received in full.
• Payments are non-refundable unless explicitly stated.

3. Revisions

• Virtual Design I: Includes up to two revisions per phase. Additional revisions are billed at $350/hour. 
• Virtual Design II: Includes up to three revisions per phase. Additional revisions are billed at $350/hour.
• Full Interior Design: Revisions are included only during the concept phase. Additional revisions after this phase are billed at an hourly rate of $350/hour.

4. Client Responsibilities

• For Virtual Design Services: Clients must provide accurate measurements, photographs, and completed design questionnaires prior to work starting.
• For Full Interior Design Services: Clients must ensure property access for site visits, measurements, and contractor work.
• Time is not expandable. Delays caused by inaccurate information, lack of access, or unresponsiveness may result in additional fees and adjusted timelines.

5. Third-Party Vendors and Purchases

• Virtual Design Clients: Responsible for purchasing items directly from vendors.
• Full Interior Design Services: Include procurement services with applicable procurement fees.
• The designer is not liable for delays, defects, or damages caused by third-party vendors or manufacturers.

6. Timeline

• Project timelines will be provided at the start and are subject to change due to scope adjustments, vendor issues, or unforeseen delays. Clients will be notified promptly of changes.

7. Intellectual Property

• Designs, concepts, drawings, and documentation are the intellectual property of AGR Creative Studio and are for personal use only.
• Reproduction or redistribution without written consent is prohibited.

8. Liability
The designer is not liable for:

• Construction, installation, or work performed by third-party contractors.
• Damages or unforeseen conditions arising during or after implementation.
• Licensed professionals must be hired for construction and installation work.

9. Cancellation and Termination

• Virtual Design Services: May be canceled within 24 hours of purchase for a full refund if work has not started.
• Full Interior Design Services: Cancellations must be in writing. Fees for completed work are non-refundable.
• The designer reserves the right to terminate services for non-payment, lack of communication, or breaches of contract.

10. Dispute Resolution

• Disputes will first be addressed through mediation. If unresolved, disputes will be subject to arbitration under the laws of New York, NY.

11. Governing Law

• These terms are governed by the laws of New York, NY.

12. Entire Agreement

• These terms, along with signed proposals and attachments, constitute the entire agreement.
• Amendments must be in writing and signed by both parties.
